1. Parties to the Agreement
These Terms and Conditions (“Terms”) govern the relationship between Pay Assist Loans (Pty) Ltd. trading as Safe Pal Global (“Safe Pal Global”, “we”, “us”, “our”), the Seller, and you, the Buyer. By using our payment plan service, you acknowledge and accept these Terms.
2. Nature of the Service and Regulatory Status
- Safe Pal Global acts as a payment plan gateway and financial intermediary, registered as a Financial Services Provider (FSP) and credit provider, as required under South African law.
- Important: Safe Pal Global does not provide credit to the Buyer, does not advance any funds, and does not guarantee payments between Buyer and Seller.
- All payment plan arrangements are between the Buyer and the Seller. Safe Pal Global facilitates payments only.
3. Payment Plan Agreement
- By selecting a monthly payment plan, the Buyer commits to paying the full contractual amount for the service or product as per the agreed schedule.
- The monthly installment forms part of the total amount owed.
- The Buyer remains liable for the entire outstanding balance, regardless of any changes in circumstance.
- Payment plans are binding and non-cancellable until the full amount is paid, subject to applicable law.
4. Payment Authorisation and Deductions
- The Buyer authorises Safe Pal Global and its payment partners (e.g., PayPal, Payfast) to process monthly deductions from the chosen payment method, in line with the payment plan selected.
- Payments will continue until the full amount has been received.
- In case of a missed payment, both the Buyer and the Seller will be notified.
- Safe Pal Global and its partners process all payments in accordance with the National Credit Act (NCA), the Financial Intelligence Centre Act (FICA), and applicable laws.
5. No Credit Extended
- No credit is provided to the Buyer. The service simply enables structured payments for a product or service already supplied or agreed to be supplied.
- The payment plan does not constitute a credit agreement, loan, or advance under the NCA.
6. Fees, Charges, and Taxes
- A once-off setup fee may be payable by the Seller for creation and management of payment plan pages.
- Sellers are responsible for any taxes, duties, or levies on funds received. Safe Pal Global is not responsible for withholding or remitting any tax for the Seller or Buyer.
7. Disbursement of Payments
- All payments received from Buyers in a given month are aggregated and paid to the Seller at month-end, less any agreed fees.
- Payments are made directly to the Seller’s designated account (e.g., PayPal).
- Safe Pal Global does not act as trustee or fiduciary of any party; funds are transferred as per payment processor terms.
8. Non-Payment, Suspension, and Termination
- If the Buyer fails to pay, the Seller reserves the right to suspend or terminate service/product delivery.
- The Buyer remains liable for all outstanding amounts under the payment plan.
- Safe Pal Global is not responsible for collection or enforcement of outstanding amounts, nor for disputes between Buyer and Seller.
9. Dispute Resolution and Complaints
- In the event of a dispute between Buyer and Seller regarding payments, service, or product delivery, the parties should first attempt to resolve the matter directly.

10. Compliance and Statutory Disclosures
- Safe Pal Global complies with the National Credit Act, FAIS Act, FICA, POPIA, and other applicable laws.
- The Buyer and Seller consent to the processing of their personal information as described in our Privacy Policy.
- Both parties acknowledge that they have read and understand these Terms, and have had an opportunity to seek independent advice where required.
11. Limitation of Liability
- Safe Pal Global, its officers, employees, and representatives, are not liable for any loss, damage, or claim arising from:
- Any dispute between Buyer and Seller;
- Missed or failed payments;
- Delays, interruptions, or errors caused by third-party payment providers;
- Any indirect or consequential loss.
12. Governing Law
- These Terms are governed by the laws of South Africa.
- Any legal proceedings must be brought in the courts of South Africa.
13. Glossary Of Terms
- Affiliate Program
- A performance-based referral system where individuals earn commissions for promoting Safe Pal Global’s products and services to digital product sellers and buyers.
- Application Fee
- A once-off application fee for buyers paid upon joining Safe Pal Global, which covers onboarding, product access, mentorship, and system tools. There are no monthly subscriptions unless joining as an affiliate.
- Attraction Marketing
- A customer acquisition strategy used in Safe Pal Global’s training, where affiliates and sellers create value-rich content that naturally draws in potential buyers without cold selling or paid ads.
- Buyer Affiliate
- A program participant who earns credit and commissions by promoting Safe Pal Global’s digital products before they can afford to purchase them outright. It allows users to “earn and learn.”
- Checkout Page
- A unique payment page created for each product and plan, where buyers can complete transactions securely, typically via PayPal.
- Digital Entrepreneur
- An individual building or scaling a business online, often using Safe Pal Global’s training, digital tools, and flexible payment solutions to grow.
- Digital Product
- An online offering (such as eBooks, software, video courses, etc.) that can be sold using Safe Pal Global’s platform. These are eligible for lay-by plans, affiliate promotions, and resale.
- Digital Skills Training
- Instructional resources provided as part of the business setup process, helping members learn marketing, sales, automation, and branding strategies.
- Lay-by Payment Plan
- An installment-based purchase plan where customers pay for a digital product in parts before gaining access to it. Safe Pal Global collects full payment before releasing the product.
- Mentorship & Community Support
- Ongoing coaching, weekly check-ins, and access to a supportive entrepreneur network, available to all active Safe Pal Global members.
- Micro-Loans
- Action-based capital starting from $1,000, available to qualified buyers and sellers to help start or scale their digital businesses. Approval is based on performance indicators rather than credit history.
- MMR (Master Resell Rights):
- A license that allows the buyer not only to resell a digital product to others but also to pass on the same resell rights to their customers. With Master Resell Rights, you can purchase a product, sell it to others, and those buyers can also resell the product (often with the same terms), creating multiple layers of distribution. MMR is common in digital products such as eBooks, courses, software, and templates.
- Passive Income
- Recurring income earned by affiliates or digital entrepreneurs from commissions, product resales, or referral bonuses without active daily involvement.
- Performance-Driven Lending
- A funding model used by Safe Pal Global, where repayment is aligned with the recipient’s income generation—ensuring repayment only when earnings occur.
- Payment Plan Setup Fee
- A once-off setup fee charged to sellers for the first product payment plan setup.
- Safe Pal Global
- A financial empowerment platform designed to support aspiring entrepreneurs through flexible lending, digital business training, affiliate marketing, and lay-by payment solutions.
- Seller Affiliate
- An individual who earns passive income by referring Safe Pal Global to other sellers or buyers. Seller Affiliates receive commissions on product plans and new affiliate signups.
- System Tools
- Prebuilt resources such as sales funnels, product pages, automation templates, and marketing assets included in the business package.
